Terms & Conditions

These Terms of Service (“Agreement”) are entered into by and between Kiorra Studio (“Kiorra”, “we”, “our”, “us”) and the individual or entity (“Client”) who engages, purchases, or accesses our creative, design, marketing, or digital services (“Services”).

By accessing the Services, submitting a project request, signing a quotation, or making any payment, the Client agrees to comply with all terms outlined in this Agreement

1. Definitions

1.1 Services

Refers to creative, design, branding, social media management, UI/UX design, website design, video editing, advertising, or any digital marketing solutions offered by Kiorra Studio.

1.2 Client Content

Any files, text, images, logos, videos, materials, or brand assets provided by the Client for use in the Services.

1.3 Deliverables

The final output produced by Kiorra Studio, including but not limited to designs, graphics, videos, branding, UI/UX layouts, documents, or digital assets.

1.4 Agreement

This Terms & Conditions document and any proposal, quotation, or written arrangement between Kiorra Studio and the Client.

1.5 Users

Any employees, interns, contractors, or team members of the Client authorized to communicate or approve work on the Client’s behalf.

1.6 Revision

Any employees, interns, contractors, or team members of the Client authorized to communicate or approve work on the Client’s behalf.

1.7 Project Start Date

The date when Kiorra Studio begins the Services after receiving payment and required content.

2. Service Usage & Responsibilities

2.1 Scope of Work

Kiorra Studio will provide Services as described in the agreed-upon proposal, quotation, or plan. Any additional work beyond the defined scope may incur extra charges.

2.2 Client Responsibilities

The Client must provide:

• Required content, branding guidelines, and references
• Timely approvals and feedback
• Accurate information regarding their business or project
• Access to required tools or platforms (if applicable)

Kiorra Studio is not responsible for delays caused by incomplete information or late responses.

2.3 Revisions

Each package includes a limited number of revisions.
Additional revisions or major redesigns will be billed separately.

3. Intellectual Property

3.1 Ownership

Full ownership of final deliverables transfers to the Client only after full payment is received.

3.2 Kiorra Studio Rights

Kiorra Studio retains the right to:

• Display work in our portfolio, website, social media, or case studies
• Use non-confidential project details for marketing

Unless a separate NDA (Non-Disclosure Agreement) is signed.

3.3 Client Assets

Client-provided content remains the property of the Client. The Client must ensure they own or have rights to use all materials supplied.

4. Payments & Billing

4.1 Payment Terms

• Monthly retainer fees must be paid at the start of each billing cycle.
• All payments are non-refundable once work has begun.

4.2 Late Payments

if payments are delayed beyond 7 days, Kiorra Studio may:

• Pause ongoing work
• Delay scheduled posts or deliverables
• Charge a late fee (if applicable)

4.3 Ad Spend

Ad budgets (Meta Ads / Google Ads) are not included in package prices and must be paid separately by the Client.

5. Term & Termination

5.1 Term Duration

• This Agreement remains active for the duration of the selected service period, subscription, or project timeline.

5.2 Termination by Client

The Client may request termination with a 7-day written notice.
Payments already made will not be refunded.

5.3 Termination by Kiorra Studio

We may terminate the Services if:

• The Client violates terms
• Payments are delayed repeatedly
• The Client behaves abusively, unprofessionally, or unethically

6. Confidentiality

Kiorra Studio will keep all confidential client information secure and will not disclose it to third parties unless:

• • Required by law
  • Necessary to complete the project
  • The Client provides written approval

7. Limitation of Liability

Kiorra Studio will not be liable for:

• Loss of revenue, reputation, or data
• Platform outages (Instagram, Meta, Google, etc.)
• Delay caused by third-party tools or algorithms

Our maximum liability is limited to the total amount paid by the Client for the specific service.

8. Amendments

Kiorra Studio may update these Terms from time to time.
Continued usage of Services implies acceptance of updated Terms.

9. Governing Law

This Agreement is governed by the laws of India, and any legal matters shall be handled in the jurisdiction of Gujarat unless agreed otherwise.
